Moving from VPS to Dedicated

I've got 2 VPSs - both are "Power-2" from PowerVPS.

My business partner wants to move to a dedicated server... a 2 GHz Celeron, with 2 x 80 GB drives, 1 GB of RAM and RHE (the 2nd one on this page: http://www.ev1servers.net/Dedicated/...s/Celeron.aspx)

So...

1. Will I see an increase or decreae in performance? One of my VPS uses about half of it's available resources, the only not more than a third.
2. Both VPSs are cPanel/WHM. Each one is a seperate web hosting company, let's call them company A and company B. What would be the best way to set up the new server? Make Company A the "primary" and have company B (which has much fewer clients) a reseller of company A? Or merge the two of them into one company?
3. On each VPS there's a "primary" account, which is the hosting company's domain. One of these will be the "primary" account on the new server. On the VPSs, each client uses name servers from the primary account (ns1.companya.com, for example). What would be the best way to move these account without causing too much of an issue for the clients? Should I create another "umbrella" domain, use that one as the primary account for the new server and have all the clients use that domain once they're moved?

Any suggestions for making this as painless as possible would be appreciated.
