Yes I think it will be worth it. I agree regarding the .NET apps. However, it could be that many new features will only run on Vista when the next Visual Studio has been released.
The Performance Features also sound nice:
Sleep, SuperFetch, External Memory Drive (EMD), and Hybrid Hard Drive..
I will upgrade anyway because I always like to be up to date
