Again many reasons:
If the Adwords visitor leaves before your analytics code can kick in (leave before page loads) - or they have security set high or no java enabled - guess what GA doesn't count it - but the click is recorded in adwords.
PPC affiliates, tracking is not able to recognize clicks from Google Network sites as being affiliated with Google. These clicks are labeled only with the third-party site name
Internet browsers pass along the referrer header when a user clicks your ad. Some versions of Internet Explorer, Netscape, etc. do not support this and will not send this information. Also, some proxies and corporate firewalls strip out the referrer headers no java enabled can account for 35 - 40% of day traffic.
If your tracking software (Google analitics) uses cookies to record referrer headers, ad clicks without JavaScript enabled will not be tracked
Users may click your ad several times in a relatively short period and may not count these repeat visits to your site. As long as the click patterns do not fit a profile of abuse they will be counted in your AdWords account statistics.
So use the logs files and put in a tracking code in your adword links.
