Yeah, you'll get a better looking photograph if you play with the saturation levels rather just just converting to grayscale...

If you mean like this :
Then here's how to do it :
1. Type the text as normal
2. PASTE the image into a new layer
3. Hold CTRL and left-click the txt layer in the layers palette :
4. Next, hold CTRL, ALT & SHIFT together, and press I to invert the selection. Then press 'delete'
Hope that helps, if it isn't what you wanted, try and explain more...

that spiderman tool was awesome, wish i could incorporate that in what i need somehow but i'm more looking for kind of like semi-transparent text. I have a picture and I want a text layer on top of the picture, but to be transparent and at the same time visible... make sense?
