In my opinion:
Google
1- keyword rich anchor text backlinks from multiple unique IP
2- <title> tag
3- Content
MSN & Yahoo
1- density keyword
2- Content
3- <title> tag

Is keyword density really that major? What is a good keyword density that will work good for yahoo/msn and google?

it depends on how competitive the keyword termspace is and what type of query is used.
I usually say glance at some of the top ranking results. see how they got there. pattern good ideas and ignore bad ones.

I would say:
have a 100% density for your Domain name
5-10 % <description>
as many as it make sens for a reader, in the Visible text

msn and yahoo make me #1 for a mildly page-optimized site when I 'add new content every day'
and I actually do add new content rather than trickery.

Interesting point of trivia...
MSN considers more than 3 comas in the description as spam.
They encourage at least four uses of a keyword phrase on a page and want to see it in an alt atribute, description and keywords also.

Well there is this guy who is a bit of a SEO guru, I was looking around his site, came across this page:

And found a link to http://sbd.bcentral.com
Signed up for a listing and went through their submission and site review process which I found very helpful.
Keep an eye on that guy at SEO Book he seems to know his stuff :wink:

Items and techniques discouraged by MSN Search
MSNBot recognizes the following items and techniques as spam, an inappropriate use of the index. Use of these items and techniques may affect how your site is ranked within MSN Search, and may result in the removal of your page or site from the MSN Search index.
• Loading pages with irrelevant words in an attempt to increase a page's keyword density. This includes stuffing ALT tags that users are unlikely to view.
