If exchanging link between two sites, if quality sites means its increase your site traffic.

If get backlink from particular keyword slight changes in SERP.

Take this example.

For instance you're exchanging links at the homepage level, your site is PR 2 and your link partner's site is PR 0. It's as good as saying you are giving favor to your link partner.

However, if you are using nofollow with the links, it may save your site from any devaluing.

Hi,

Link exchange definitely plays a very important role for PR, exchanging link with different types of site may effect your site in following ways:
1. Exchanging a link with a site having same theme but low PR - not effect much
2. Exchanging a link with a site having different theme and low PR - not good
3. Exchanging a link with a site having same theme and high PR - Best
4. Exchanging a link with a site having different theme and high PR - Fine

i would not suggest you exchange links with diff themes it's a no brainer
