Just look at the site
not from an SEO perspective, but as an average web reader. Would it be a site that you would want to bookmark and come back to on a repeated basis?
Check to see what sites it links out to, if it links to spammy non relevant sites then don't execute the link exchange with it.
Check the source code and see if it is a site that uses standard HTML or does it use shockwave-flash. You don't want to be linking with an all shockwave-flash site because Googlebot won't crawl the link back to your site and it won't pass page rank. Also check it out in the Google rankings, if it ranks well for key words and phrases that you would use then it's a huge plus.
Why are you guys all so obsessed with the Google bar page rank? Don't rule it out just because it has low page rank or not many pages indexed. Page rank changes every 3 months and you might miss out on getting a link with a quality up and coming new site.
