VB Software transfer too another Host

What steps do I need to take to insure as little downtime and Data loss when I transfer from one Web Host to another??

Suspend the board, transfer files and database, change DNS, put in a DNS redirect from old host to new, and unsuspend board on new host. One hour tops, if not a huge board.

What tools use to transfer files from an old account to a new one?
I know some hosting companies have that "feature" but if not? then how to do that? because too many files need to transfers

Also anyone know how the "banner of free hosting companies works?"
like "Tripod.com, geocities.com" with every free web hosting you registered from them, they place their banner on top or left
The question is how can they do that? the banner auto appears on every pages

Can any one post a tutorial of this?
